Terms of Service

1. Agreement to Terms
By accessing or using CloudPruneAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the platform, including individual users and users operating as part of a Partner organization (consultancy, MSP, or similar).
2. Description of Service
CloudPruneAI is a multi-cloud cost optimization platform that analyzes cloud infrastructure (AWS and Azure as of the date of these Terms; additional providers added per roadmap) in read-only mode, identifies cost-saving opportunities, and generates Infrastructure as Code (IaC) — including Terraform, CloudFormation and AWS CDK for AWS, and Terraform AzureRM and Bicep for Azure — to implement optimizations. The platform operates under a Partner model: consultancies, MSPs, and independent practitioners ("Partners") use CloudPruneAI to scan their clients' cloud accounts and subscriptions, generate reports, and deliver optimization recommendations. The Service requires read-only access using each provider's native least-privilege authentication (IAM role for AWS; App Registration + Service Principal for Azure).
3. Account Registration and Access
To use the Service, you must:
- Create an account with accurate information
- Be at least 18 years old
- Have authority to connect the cloud account(s) you register
- Keep your account credentials secure
- Notify us immediately of any unauthorized access
Access to the platform is by invitation and subject to approval by CloudPruneAI. We reserve the right to approve, suspend, or revoke access at our discretion.
If you are part of a Partner organization, your account will be associated with that Partner. Your Partner administrator may manage your access level and permissions within the platform.
4. Cloud Account Access
4.1 Authentication Requirements
You authorize CloudPruneAI to access cloud accounts and subscriptions in read-only mode using each provider's native least-privilege mechanism:
- AWS: a read-only IAM role with an External ID unique to your organization, including the
ReadOnlyAccessmanaged policy and Cost Explorer permissions as specified in our documentation. Long-lived AWS access keys are never stored — temporary STS credentials are obtained at scan time and discarded. - Azure: an App Registration + Service Principal in your Microsoft Entra ID tenant, with the built-in
ReaderandCost Management Readerroles assigned at the target subscription scope. The Service Principal client secret is encrypted at rest in AWS Secrets Manager under a path scope-limited per connected account.
4.2 Authorization for Partner Users
If you are a Partner connecting a client's cloud account or subscription, you represent and warrant that you have obtained proper authorization from the cloud account / subscription holder to grant CloudPruneAI read-only access. You are solely responsible for obtaining and maintaining this authorization.
4.3 Our Commitment
- We will only use read-only access; we will never modify your resources
- We will only access data necessary for cost analysis
- We will not access the content of your data (e.g., S3 / Blob objects, database records, secret values, log content)
- The cloud account / subscription holder can revoke access at any time — by deleting the IAM role (AWS) or the App Registration (Azure)
5. Pricing and Payment
5.1 Scan and Executive Summary (Free)
Scanning cloud accounts and viewing the Executive Summary (which includes total savings by category without specific resource identifiers) is free and unlimited. No payment is required to scan or view summary results.
5.2 Report Unlock (Gainshare Pricing)
To unlock the full report with detailed recommendations, resource identifiers, and IaC code (Terraform / CloudFormation / AWS CDK for AWS; Terraform AzureRM / Bicep for Azure), a one-time payment is required based on the annual savings identified:
- Annual savings up to $500,000: 10% of the annual savings identified
- Annual savings over $500,000: 7.5% of the annual savings identified
The fee is calculated based on the estimated annual savings at the time of unlock, as determined by CloudPruneAI's analysis. Savings estimates are based on the previous 14 days of metrics and do not constitute a guarantee of actual savings.
5.3 Payment Methods
- Immediate Payment: Credit card via Stripe at the time of unlock.
- Net 30 Invoicing: Available for approved Partners. The report is unlocked immediately, and payment is due within 30 calendar days. Late payments are subject to a 1.5% monthly interest charge. CloudPruneAI may suspend access to new unlocks if two or more invoices are overdue.
5.4 Price Changes
CloudPruneAI reserves the right to modify pricing with 30 days' prior notice. Changes do not apply retroactively to unlocks already completed.
5.5 Refund Policy
Payments to unlock scan reports are non-refundable once the report has been delivered, as the value (detailed recommendations, resource identifiers, and IaC code) is immediately accessible upon unlock.
5.6 Billing Portal
You can view invoices, update your payment method, and manage billing through the Stripe Customer Portal, accessible from the Billing section of your dashboard.
6. Generated Code and Reports
6.1 Generated IaC Code License
Infrastructure-as-code generated by CloudPruneAI (Terraform, CloudFormation, AWS CDK for AWS; Terraform AzureRM, Bicep for Azure) may be used, modified, and deployed freely by you and your clients without restriction.
6.2 Reports
Reports generated by CloudPruneAI (including PDF reports with Partner branding) are licensed for use with your clients. You may not redistribute reports to competing Partners or unrelated third parties.
6.3 Disclaimer
Generated code and reports are provided "as is." While we strive for accuracy, you are responsible for reviewing and testing any code before deploying it to any cloud environment (AWS or Azure). We recommend deploying to a staging environment first.
7. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Scan cloud accounts without proper authorization from the account holder
- Attempt to gain unauthorized access to our systems or other users' data
- Reverse engineer or decompile the Service
- Use the Service to harm others or their infrastructure
- Resell or sublicense access to the CloudPruneAI platform itself to third parties
- Share reports with competing Partners or unauthorized third parties
- Submit false information or connect fraudulent cloud accounts
- Circumvent rate limits or abuse the Service
- Present CloudPruneAI as your own product (co-branding with your Partner identity is permitted)
8. Partner Organizations
Partners (consultancies, MSPs, and similar organizations) may use CloudPruneAI to deliver cost optimization services to their clients. As a Partner:
- You are responsible for obtaining authorization from clients before scanning their cloud accounts
- You may present reports with your organization's branding to your clients
- You retain ownership of your client relationships and consulting deliverables
- Data from accounts you connect is isolated and not visible to other Partners
- CloudPruneAI will not directly contact your clients identified through the platform without your consent
- Partner-specific terms, including Net 30 invoicing eligibility, may be governed by a separate Partner Agreement
9. Intellectual Property
The Service, including its algorithms, analyzers, and functionality, is owned by CloudPruneAI and protected by intellectual property laws. Our trademarks may not be used without prior written consent. Partners retain ownership of their client relationships, consulting methodologies, and deliverables created using our reports as a basis.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. SAVINGS ESTIMATES ARE BASED ON AUTOMATED ANALYSIS OF INFRASTRUCTURE METRICS FROM THE PREVIOUS 14 DAYS AND DO NOT CONSTITUTE A GUARANTEE OF ACTUAL SAVINGS. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDPRUNEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE. CLOUDPRUNEAI IS NOT RESPONSIBLE FOR DECISIONS MADE BASED ON REPORTS, CODE DEPLOYED WITHOUT ADEQUATE TESTING, OR INTERRUPTIONS CAUSED BY THIRD-PARTY PROVIDERS. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless CloudPruneAI from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, unauthorized scanning of cloud accounts, or infringement of any third-party rights.
13. Termination
We may suspend or terminate your access to the Service for violation of these Terms, repeated non-payment, or misuse of the platform. You may stop using the Service at any time. Upon termination, previously unlocked reports remain available for download for 90 days. Outstanding invoices remain due per their original terms. Previously generated IaC code remains yours without restriction.
14. Changes to Terms
We may modify these Terms with 30 days' prior notice. Material changes will be communicated via email or through the Service. Continued use after the notice period constitutes acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
16. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Class action lawsuits are waived to the extent permitted by law.
